Honeywell International, Inc. v. Air Products and Chemicals

Honeywell sought a preliminary injunction against Air Products' planned acquisition of an Ashland division that provided industrial gases, chemicals, and associated services used in the manufacture of semiconductors. Honeywell claimed that the acquisition represented a breach of its 1998 strategic alliance agreement with Air Products. Working with the law firm of Jones Day, Managing Principal John Jarosz and Principal Robert Vigil determined that every aspect of the potential harm to Honeywell, even if each were to materialize, would be wholly quantifiable. The court did not issue a preliminary injunction barring the acquisition.
