In Re Dole Food Company, Inc. Stockholder Litigation
Analysis Group was retained by counsel for defendant Deutsche Bank in a highly publicized class action lawsuit brought by Dole's shareholders to prevent Dole's leveraged buyout by its chairman. Plaintiffs alleged that Deutsche Bank aided and abetted Dole's chairman and board members in breaching their fiduciary duty to the other stockholders by including terms in its credit agreement with Dole that dissuaded potential outside acquirers. An Analysis Group team, led by Managing Principal Gaurav Jetley and Vice President Lindsay Greenbaum, supported our affiliate Robert Grien, a leveraged finance expert, in his analysis of the terms of Dole's credit agreement with Deutsche Bank. Mr. Grien submitted an expert report and provided expert testimony. Following a multiweek trial, the Delaware Court of Chancery found that Deutsche Bank was not liable to the shareholder class.
